1. Purpose

These Terms and Conditions (the "Terms") are intended to define the conditions under which users may access the ExactMatchCV service, use it, create an account, subscribe to a paid plan, manage their applications, and use the features offered by the platform.

ExactMatchCV is a job-search assistance service focused on application optimization. In particular, it enables the user to create, import, edit, optimize, translate, and export resumes, track applications, search for job offers, configure alerts, and use AI-assisted features.

The service is provided without any obligation of result. ExactMatchCV does not guarantee obtaining a job, obtaining an interview, the success of an application, or the effective passage of a resume through an ATS system or any other pre-screening tool.

2. Service publisher

The ExactMatchCV service is published by:

Hereinafter "Serenae Gestion" or the "Publisher."

3. Definitions

In these Terms, the terms below have the following meanings:

Account: personal space created by the user to access the ExactMatchCV service.

User Content: all content, information, files, and data provided, imported, entered, edited, or generated by the user when using the service, including resumes, applications, notes, job descriptions, imported files, and profile information.

ExactMatchCV or the Service: the web platform published by Serenae Gestion, accessible at ExactMatchCV.com.

Offer or Plan: free or paid package granting access to certain Service features, under the conditions and quotas shown on the pricing page.

User: any adult natural person using ExactMatchCV for personal purposes, as a consumer.

4. Acceptance of the Terms

Use of ExactMatchCV implies full and complete acceptance of these Terms, which are provided before creating an account.

The user acknowledges having legal capacity to contract and declares that they are an adult.

If the user does not accept these Terms, they must not create an account or use the Service.

5. Intended audience

ExactMatchCV is intended exclusively for adult natural persons using the Service for personal purposes, as consumers.

The Service is not intended for professionals, recruiters, recruitment firms, coaches, schools, training organizations, companies, temporary staffing agencies, or any other party wishing to evaluate, process, or optimize third-party resumes or applications.

The user undertakes to use ExactMatchCV only for their own resumes, applications, and job-search activities. Use of the Service to evaluate, process, optimize, or manage third-party resumes and applications is prohibited.

The Service is accessible worldwide, but it is primarily designed for users located in France or seeking employment on the French market. Some features may be prioritized for the French market.

6. General description of the Service

ExactMatchCV offers job-search assistance features, including:

• resume creation, import, editing, organization, and export;
• resume version management;
• resume optimization to improve readability, consistency, and fit with certain offers;
• AI-assisted suggestions and analyses;
• resume translation;
• indicative evaluation of fit between a resume and an offer;
• generation of resume versions tailored to an offer or application;
• application tracking;
• job-offer search from third parties or aggregators;
• job-alert configuration;
• management of subscriptions, quotas, and invoices.

Available features may vary depending on the Plan selected by the user.

The essential characteristics of Plans, their prices, subscription periods, quotas, and usage limits are presented on the Service pricing page.

7. No guarantee of results

ExactMatchCV is an assistance tool. The Service helps the user organize, improve, and optimize applications, but does not replace the judgment of the user, a recruiter, an employer, or a professional advisor.

Serenae Gestion does not guarantee:

• obtaining a job;
• obtaining an interview;
• a positive response from a recruiter;
• effective passage of a resume through an ATS;
• accuracy of ATS or pre-screening tool behavior;
• perfect fit of a resume to an offer;
• accuracy, completeness, or relevance of all suggestions provided by the Service.

Scores, evaluations, suggestions, ATS analyses, fit analyses, and content generated or suggested by ExactMatchCV are provided for guidance only.

The Service does not provide legal advice, binding personalized HR advice, or any hiring guarantee.

8. Account creation and management

Registration is mandatory to access ExactMatchCV features. No Service functionality is accessible without an account.

To create an account, the user must provide the information requested in the registration form and, where applicable, verify their email address.

The user undertakes to provide accurate, complete, and up-to-date information. The user is responsible for keeping their credentials confidential and for all activity performed from their account.

Account sharing between several persons is prohibited.

In case of unauthorized use of their account or suspicion that credentials have been compromised, the user must inform Serenae Gestion as soon as possible.

9. Account deletion by the user

The user may delete their account at any time from the Service interface.

Account deletion results in immediate deletion of data associated with the account, subject to data whose retention is necessary or mandatory to comply with legal, accounting, tax, regulatory, security, evidentiary, or dispute-management obligations.

Before deleting their account, the user may retrieve their data from their account where this feature is available. The user is responsible for retrieving data before effective account deletion.

Deleting the account results in loss of access to the Service, content, resumes, applications, history, and features associated with the account.

10. Account suspension or closure by Serenae Gestion

Serenae Gestion may suspend or close an account, without prejudice to any other rights and remedies available to it, in case of:

• breach of these Terms;
• unlawful, fraudulent, abusive use or use contrary to the purpose of the Service;
• attempt at unauthorized access to the Service or its systems;
• harm to the security, integrity, or proper functioning of the Service;
• non-payment;
• account sharing;
• use of the Service to process third-party resumes or applications;
• content that is manifestly unlawful or contrary to these Terms;
• conduct causing harm to Serenae Gestion, other users, or third parties.

In case of serious breach, Serenae Gestion may suspend or terminate the account immediately.

Where reasonably possible, Serenae Gestion informs the user of the measure taken and the main reasons justifying it.

11. Offers, Plans, and quotas

ExactMatchCV may offer a free package and paid Plans. Paid Plans may be offered with different subscription periods.

Some Plans may include automatic renewal if the user chooses this option at subscription. Other Plans may be offered without automatic renewal.

The characteristics of each Plan, including included features, limits, quotas, subscription periods, and applicable prices, are presented on the Service pricing page.

Quotas are limits applied throughout the subscription period of the relevant offer. They do not constitute credits that carry over to a later period.

In case a quota is reached or exceeded, affected features may be limited, suspended, or made temporarily unavailable. Some content or features may become unavailable until the user subscribes to a higher Plan or renews a period granting access to new quotas.

It is not possible to purchase additional credits separately, unless such an option is later offered by Serenae Gestion. However, the user may subscribe to a higher Plan when the quotas of their current Plan are reached.

12. Prices

Applicable prices are those shown on the pricing page at the time of subscription.

Prices are shown inclusive of taxes for consumers.

Serenae Gestion reserves the right to modify its prices and quotas associated with Plans. Except where a legal or regulatory provision requires immediate effect, any price or quota change applicable to an ongoing subscription is subject to one month's prior notice.

In case of a price change, existing subscribers keep their current price until the end of the current subscription period. Serenae Gestion informs the user of the new price applicable to the next period. The user may suspend automatic renewal or cancel their subscription before the new price takes effect.

13. Payment

Payment for paid Plans is handled exclusively by Stripe.

The user is redirected to a secure payment interface or uses an integrated payment interface provided by Stripe. Serenae Gestion does not store users' full payment card numbers.

The user warrants that they are authorized to use the selected payment method.

In case of payment refusal, payment failure, payment method expiry, or payment incident, access to paid features may be suspended or limited.

Invoices or payment receipts are made available to the user under the terms provided by the Service or by Stripe.

14. Automatic renewal and renewal suspension

When the user chooses an offer with automatic renewal, the subscription renews automatically at the end of the current subscription period, unless renewal is suspended by the user before the renewal date.

The user may suspend automatic renewal at any time from their account.

Suspension of renewal takes effect at the end of the current paid period. The user retains access to paid features until the end of that period, except in case of early suspension or termination for breach of these Terms.

When the subscription is subject to automatic renewal, the user is informed no later than seven days before renewal.

15. No refund

Except where mandatory law provides otherwise, or in cases expressly provided for in these Terms, paid amounts are non-refundable.

The free package allows the user to test the platform, assess its features, and verify suitability for their needs before any paid subscription.

The no-refund rule applies in particular where the user does not use all or part of the features or quotas included in their Plan during the subscription period.

16. Right of withdrawal

The Service is intended for French and European consumers. In principle, consumers have a fourteen-day right of withdrawal for distance contracts, under the conditions provided by the Consumer Code.

However, ExactMatchCV paid features constitute a digital service or digital content supplied without a physical medium, performance of which may begin immediately after subscription at the user's request.

When subscribing to a paid offer, the user may be asked to tick a specific box, notably worded as follows:

"I request immediate performance of the service before the end of the withdrawal period and acknowledge that I waive my right of withdrawal."

Where the user requests immediate performance of the Service and acknowledges loss of the right of withdrawal under the conditions provided by law, the user may no longer exercise their right of withdrawal for the subscribed period once access to paid digital features has been activated.

Paid credits, quotas, or features may be consumed immediately upon use.

If the user does not wish to waive their right of withdrawal where such waiver is necessary for immediate performance of the Service, access to paid features may be postponed until expiry of the statutory withdrawal period or may not be offered under the same conditions.

17. Modification, evolution, or removal of features

Serenae Gestion may evolve the Service at any time, including adding, modifying, improving, limiting, or removing certain features, taking into account in particular user feedback, technical constraints, security requirements, and analysis of the effective use of the Service.

In order to maintain, secure, evolve, and improve the Service, Serenae Gestion may analyze how connected users use ExactMatchCV features. This analysis may cover, in particular, the pages or features used, actions performed in the interface, errors encountered, usage paths, usage volumes, quotas consumed, and technical events necessary for diagnostics and Service improvement.

These processing activities are intended to understand the effective use of the Service, identify friction points, correct malfunctions, improve the ergonomics, performance, reliability, and security of the Service, and prioritize functional developments.

Any substantial removal of a feature included in an ongoing paid Plan is subject to one month's notice, except in case of urgency, legal constraints, security vulnerability, abuse, request from a competent authority, or technical impossibility beyond Serenae Gestion's control.

In case of substantial removal of a feature included in the user's paid Plan, the user may cancel their subscription or request a pro rata refund for the remaining duration of their current subscription period, where such removal significantly affects use of the subscribed Plan.

Serenae Gestion may also temporarily limit certain features, including AI features, in case of excessive cost, abuse, provider outage, saturation, maintenance, security risk, or need to preserve the proper functioning of the Service.

18. Service availability

Serenae Gestion strives to ensure monthly Service availability of 98%, excluding planned maintenance periods, force majeure events, incidents attributable to the user, incidents attributable to third parties, interruptions necessary for Service security or integrity, and temporary limitations justified by these Terms.

The Service may be interrupted for maintenance, updates, security, improvement, technical incident, outage, abuse, or operational constraints.

In case of non-compliance with the 98% monthly availability rate attributable to Serenae Gestion, paying users may request compensation in the form of a credit note, up to the pre-tax amount corresponding to sums effectively paid by the user to Serenae Gestion for the current subscription period.

Such credit note constitutes the lump-sum and exclusive compensation related to non-compliance with the availability level, within the limits allowed by applicable law.

No compensation is due to users of the free package.

19. User Content and ownership

The user remains the owner of User Content they import, enter, create, edit, or generate while using ExactMatchCV.

The user grants Serenae Gestion a non-exclusive, worldwide, free-of-charge, and strictly limited license to host, store, back up, display, technically reproduce, technically adapt, process, transmit, and technically modify User Content solely to the extent necessary for providing, operating, securing, and improving the Service.

This license ends when User Content is deleted from the account or when the account is deleted, subject to temporary backups, legal obligations, security obligations, or evidentiary needs.

Content generated or suggested by the Service from User Content may be used freely by the user in their applications, subject to compliance with these Terms and third-party rights.

20. User responsibility for content

The user is solely responsible for User Content they import, enter, create, edit, validate, export, or use within the Service.

In particular, the user undertakes not to use ExactMatchCV to:

• process, evaluate, optimize, or manage third-party resumes or applications;
• import or distribute manifestly unlawful content;
• infringe third-party rights;
• impersonate a third party;
• harm the security or proper functioning of the Service;
• use the Service for fraudulent, unlawful, or abusive purposes.

The user is solely responsible for the accuracy, truthfulness, and lawfulness of information contained in their resumes, applications, notes, and documents.

The user must verify all suggestions, rewrites, translations, analyses, or content generated with AI assistance before validating, exporting, or using them in an application.

Serenae Gestion may remove, limit access to, or disable any content that is manifestly unlawful, contrary to these Terms, or likely to infringe third-party rights, Service security, or Serenae Gestion's image.

21. Artificial intelligence, suggestions, and scores

Some ExactMatchCV features rely on artificial intelligence services provided by Mistral AI.

These features may in particular enable generation of content suggestions, rewrites, translations, metadata, fit analyses, indicative scores, or tailored resume versions.

The user acknowledges that AI-generated or AI-suggested content may contain errors, approximations, unsuitable wording, omissions, inconsistencies, or disputable interpretations.

It is the user's responsibility to reread, verify, correct, and validate all content before use, export, or sending to a recruiter.

CV/offer fit scores, ATS analyses, and evaluations provided by ExactMatchCV do not necessarily reflect the actual decision of a recruiter, employer, ATS, or any other pre-screening tool. They are provided for guidance only.

The user remains free in their use of content generated or suggested by the Service, under their sole responsibility.

22. Job offers and external sources

ExactMatchCV may display or use job offers provided by third parties or aggregators such as France Travail.

Serenae Gestion does not guarantee the accuracy, completeness, timeliness, availability, legality, relevance, or compliance of job offers from external sources.

The user applies to offers by means of their choice outside ExactMatchCV, in particular through relevant websites, platforms, recruiters, or employers.

ExactMatchCV is not a recruitment intermediary and does not intervene in the relationship between the user and recruiters, employers, job platforms, or third-party websites.

Serenae Gestion is not responsible for exchanges, decisions, refusals, offers, promises, contracts, errors, practices, or behaviors of recruiters, employers, job platforms, or third-party websites.

23. Third-party services

Operation of ExactMatchCV may involve third-party providers or services, including Stripe for payments, Brevo for certain email sends, Mistral AI for AI features, Google for authentication where the user chooses this option, France Travail for certain job offers, and geo.api.gouv.fr for certain location features.

Use of certain third-party services may be subject to their own terms of use and privacy policies.

Serenae Gestion is not responsible for third-party services it does not control, except where mandatory law provides otherwise.

24. Personal data

As part of Service use, Serenae Gestion processes users' personal data.

The conditions under which such data is collected, used, retained, protected, and shared are described in the ExactMatchCV Privacy Policy, available at: [link to Privacy Policy to be completed].

The user is invited to consult the Privacy Policy before using the Service.

25. Serenae Gestion intellectual property

ExactMatchCV, its name, interface, design, graphic elements, source code, templates, optimization logic, databases, texts, marketing content, features, and more generally all elements comprising the Service, excluding User Content, are the exclusive property of Serenae Gestion or its licensors.

Any reproduction, representation, adaptation, extraction, copying, modification, distribution, reuse, exploitation, decompilation, reverse engineering, scraping, automated indexing, or unauthorized use of all or part of the Service is prohibited, unless prior written authorization is granted by Serenae Gestion or mandatory law provides otherwise.

In particular, the user agrees not to:

• copy or reproduce the Service;
• massively extract data;
• circumvent technical protection measures;
• use unauthorized robots, scripts, or automated tools;
• attempt to access source code or non-public elements;
• reproduce the logic, interface, or features of ExactMatchCV in an unauthorized manner.

26. User general obligations

The user undertakes to use ExactMatchCV in accordance with these Terms, applicable laws and regulations, and the normal purpose of the Service.

In particular, the user agrees not to:

• use the Service for professional purposes or on behalf of third parties;
• share their account;
• disrupt or attempt to disrupt the Service;
• access or attempt to access systems, data, or accounts without authorization;
• circumvent quotas, restrictions, or technical limitations;
• use the Service excessively, abusively, or fraudulently;
• infringe the rights of Serenae Gestion, other users, or third parties;
• import malicious, unlawful, or technically dangerous content.

27. Support

Support is provided by email or from the user interface, according to the terms provided by the Plan subscribed to by the user.

Support terms, including available channels and any differences depending on Plan, are described on the Service pricing page.

Serenae Gestion responds to support requests as soon as possible, with no response-time guarantee or promise of result, unless otherwise provided by the subscribed Plan.

28. Termination by the user

The user may terminate their account at any time from their personal space.

Termination of the account results in loss of access to the Service and deletion of associated data, subject to data whose retention is mandatory or necessary to comply with legal, regulatory, accounting, tax, security, evidentiary, or dispute-management obligations.

Where the user has an ongoing paid subscription, account termination or suspension of automatic renewal does not give rise to any refund, except where mandatory law provides otherwise or where expressly provided in these Terms.

The user is invited to retrieve their data before any final deletion or termination.

29. Termination or suspension by Serenae Gestion

Serenae Gestion may suspend or terminate access to the Service in case of breach of these Terms, unlawful use, fraudulent use, abuse, non-payment, account sharing, harm to the Service, processing of third-party data, or conduct infringing the rights of Serenae Gestion, other users, or third parties.

In case of serious breach, suspension or termination may occur immediately.

Suspension or termination due to user fault does not entitle the user to any refund, except where mandatory law provides otherwise.

30. Serenae Gestion liability

Serenae Gestion uses reasonable efforts to provide a functional, secure Service consistent with its description.

However, within the limits allowed by applicable law, Serenae Gestion cannot be held liable for:

• failure to obtain a job;
• failure to obtain an interview;
• loss of opportunity;
• an unfavorable decision by a recruiter or employer;
• failure of a resume to pass through an ATS;
• misinterpretation of a score or analysis;
• error, approximation, or unsuitable wording in suggested or generated content;
• an error present in a resume validated or used by the user;
• unavailability, inaccuracy, or withdrawal of an external job offer;
• the user's use of generated or exported content;
• relationships between the user and recruiters, employers, job platforms, or third-party sites;
• user misuse of the Service;
• force majeure event;
• an incident attributable to a third party or external service not controlled by Serenae Gestion.

Within the limits allowed by applicable law, Serenae Gestion's total liability, for all damages combined, is limited to the pre-tax amount corresponding to sums effectively paid by the user to Serenae Gestion during the six months preceding the event giving rise to the alleged damage.

This limitation does not apply to personal injury, gross negligence or willful misconduct, or mandatory statutory rights and guarantees available to consumers.

No provision of these Terms is intended to exclude or limit mandatory rights available to users as consumers.

31. Force majeure

Serenae Gestion cannot be held liable for delay or non-performance resulting from a force majeure event under French law, including natural disaster, war, riot, pandemic, strike, widespread network outage, cyberattack, interruption of an essential provider, administrative decision, or any unforeseeable, irresistible, and external event preventing normal performance of the Service.

32. Amendment of the Terms

Serenae Gestion may amend these Terms in order to reflect, in particular, changes in the Service, its offers, features, technical constraints, providers, or applicable law.

Substantial changes are brought to users' attention by any appropriate means, including by email, in-Service notification, or posting on the website.

Where changes materially affect an ongoing paid subscription, the user may suspend automatic renewal or terminate their subscription before the new terms take effect.

Use of the Service after entry into force of the new Terms constitutes acceptance thereof.

33. Complaints and amicable settlement

In case of difficulty, the user is invited to first contact Serenae Gestion in order to seek an amicable solution.

To the extent permitted by consumer law, the parties endeavor to seek an amicable solution before any judicial action.

34. Consumer mediation

In accordance with Consumer Code provisions relating to consumer mediation, consumer users have the right to use, free of charge, a consumer mediator with a view to amicable resolution of a dispute with Serenae Gestion.

Before referring the matter to the mediator, the user must have attempted to resolve the dispute directly with Serenae Gestion through a written complaint.

The competent mediator is:

Serenae Gestion will complete this section after designation of a registered consumer mediator in accordance with applicable legal requirements.

35. Applicable law

These Terms are governed by French law.

Where the user is a consumer residing in another country, this clause does not deprive them of the protection afforded by mandatory provisions of the law of their country of residence, where such provisions apply.

36. Disputes

In case of dispute, the user is invited to contact Serenae Gestion in order to seek an amicable solution.

Failing an amicable solution, the dispute falls within the jurisdiction of the competent courts under the general rules applicable to consumers.

No clause in these Terms deprives consumer users of mandatory territorial jurisdiction rules from which they benefit.

37. Partial invalidity

If any provision of these Terms is declared null, invalid, or unenforceable, the other provisions remain fully applicable.

The affected provision will, where possible, be replaced by a valid provision that most closely reflects the parties' original intent.

38. Non-waiver

The fact that Serenae Gestion does not rely at a given time on a right or provision of these Terms does not constitute a waiver of the right to rely on it later.
